Online Vacation Center Holdings Corp. (OVC) is pleased to extend the following benefit to our shareholders:

This benefit allows shareholders who own a minimum of 500 shares of OVC stock and their referrals, to earn a 5% cash back reward on each cruise purchased from Online Vacation Center, Curves Travel, Journeys Unlimited, and West University Travel after May 28, 2008. Certain restrictions apply.

For shareholder travel, please provide your name, reservation number, travel date, along with proof of ownership of OVC shares (i.e. shares certificate, a current brokerage or nominee statement or a photocopy of a shareholder proxy card) to your Personal Vacation Manager. Applications to receive this reward must be made prior to final payment in order to qualify. Only one cash back reward will be given per purchase. Amount of cash back reward will be calculated on final purchase price exclusive of air, tax, insurance, and other discounts or amenities and will be paid approximately 4 to 6 weeks after travel.

For referral travel, to qualify for cash back reward, the referral must travel on the same itinerary as the shareholder and identify themselves as a shareholder referral to their Personal Vacation Manager at time of booking. Amount of cash back reward will be calculated on final purchase price exclusive of air, tax, insurance, and other discounts or amenities and will be paid approximately 4 to 6 weeks after travel.

OVC reserves the right to add, delete, amend, change or end this program at any time. Employees or anyone traveling on a reduced-rate or complimentary basis are excluded from this offer.
